Welcome to Only Traders (the "Service"), operated by Only Traders ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Only Traders website located at OnlyTraders.us (the "Website"), our associated services including mentorship programs, strategy idea provisions, community forums (including our Discord server), and any related content or materials (collectively, the "Service").

By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy [Link to Your Privacy Policy - Ensure you create this page too], which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Only Traders provides educational resources, mentorship, and community support for individuals interested in automated trading strategy development and testing. Key components include:

Mentorship: Guidance and teaching based on the founder's experience in automated strategy development.
Strategy Drops: Provision of approximately 2-3 automated trading strategy ideas/concepts/code snippets per month ("Strategies") intended solely for educational and testing purposes by members.
Community Access: Access to a Discord server with public channels and exclusive channels for paying members for discussion, collaboration, and support.
Website Content: Educational articles, videos, or other materials provided on the Website.

3. IMPORTANT DISCLAIMERS – No Investment Advice & High Risk Activity

(a) No Investment Advice: The Company is NOT a registered investment advisor, broker-dealer, or financial analyst. The Service, including all mentorship, content, Strategies, and community discussions, is provided for EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. Nothing provided through the Service constitutes investment advice, financial advice, trading advice, a solicitation, recommendation, endorsement, or offer to buy or sell any securities, futures, options, or other financial instruments.

(b) High Risk Warning: Trading financial instruments, including but not limited to stocks, futures, options, and cryptocurrencies, involves a VERY HIGH DEGREE OF RISK and may not be suitable for all investors. You can lose all or more of your initial investment. You should be aware of all the risks associated with trading and seek advice from an independent financial advisor if you have any doubts. NEVER TRADE WITH MONEY YOU CANNOT AFFORD TO LOSE.

(c) NO GUARANTEE OF PERFORMANCE OR PROFIT: The Company makes ABSOLUTELY NO GUARANTEE OR REPRESENTATION REGARDING THE PERFORMANCE, PROFITABILITY, OR RESULTS that may be obtained through the use of the Service or any Strategies provided. Trading strategies, even those that performed well in backtesting or historically, may fail to perform as expected in live trading due to various factors including market volatility, latency, execution issues, data errors, and unforeseen events.

(d) Strategies Provided for Testing/Educational Use Only: The Strategies provided monthly are developmental ideas shared for educational insight into strategy creation and for members to test and evaluate at their own sole risk. They are NOT finished, fully validated, or "ready-to-deploy" trading systems guaranteed to generate profit. You are solely responsible for any testing, modification, implementation, and risk management associated with these Strategies.

(e) Hypothetical Performance Disclaimer: Any performance results, backtests, statistics, or examples shown or discussed within the Service are HYPOTHETICAL unless explicitly stated otherwise. HYPOTHETICAL PERFORMANCE RESULTS HAVE MANY INHERENT LIMITATIONS. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN. ACTUAL TRADING RESULTS MAY DIFFER MATERIALLY FROM HYPOTHETICAL RESULTS. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

(f) Your Responsibility: Your use of any information, mentorship, or Strategies provided through the Service is entirely at your own risk. You are solely responsible for your own trading decisions, research, risk assessment, and due diligence.

4. Membership and Accounts

(a) Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.

(b) Registration: To access certain features, particularly paid membership, you may need to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

(c) Confidentiality: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree not to disclose your password or membership access to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

(d) One Account Per User: Each membership is for a single individual user only. Sharing accounts or access credentials is strictly prohibited.

5. Payment Terms

(a) Fees: Access to paid portions of the Service requires payment of subscription fees as outlined on the Website at the time of purchase (e.g., Monthly, Quarterly, Yearly plans). Prices are subject to change upon notice from us.

(b) Billing: You authorize us (or our third-party payment processor, e.g., Stripe) to charge your chosen payment method on a recurring basis (monthly, quarterly, or annually) for your selected subscription plan.

(c) Payment Information: You must provide current, complete, and accurate payment and billing information. You must promptly update all information to keep your billing account current, complete, and accurate (such as a change in billing address, credit card number, or credit card expiration date).

(d) No Refunds: All payments made to the Company for the Service are final and non-refundable, unless otherwise required by applicable law or explicitly stated by the Company in writing. Cancelling a subscription prevents future billing but does not entitle you to a refund for the current or previous billing periods.

(e) Taxes: You are responsible for any applicable sales, use, or other taxes associated with your subscription.

6. Intellectual Property Rights

(a) Ownership: The Service and all its original content (including text, graphics, logos, icons, images, audio clips, video clips, data compilations), software, website design, and the Strategies provided (as concepts, code, or ideas) are the exclusive property of the Company and its licensors and are protected by international copyright, trademark, and other intellectual property laws.

(b) Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and the provided Strategies solely for your personal, non-commercial, educational, and testing purposes, subject to these Terms.

(c) Restrictions: You agree not to copy, reproduce, modify, distribute, display, perform, republish, download, store, transmit, sell, resell, or create derivative works from any of the content or Strategies provided through the Service, except as explicitly permitted by these Terms or with prior written consent from the Company. You specifically agree not to share, resell, or redistribute the Strategies provided as part of the membership.

7. User Conduct

You agree not to use the Service for any unlawful purpose or in any way that interrupts, damages, impairs, or renders the Service less efficient. You agree not to:

Violate any applicable local, state, national, or international law or regulation.
Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
Engage in any conduct that is harassing, abusive, threatening, defamatory, obscene, or otherwise objectionable within the Service or associated community platforms (like Discord).
Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
Attempt to gain unauthorized access to the Service, user accounts, or computer systems or networks connected to the Service.
Share your account credentials or allow others to access the Service through your account.
Violate any specific rules or guidelines posted within the Only Traders Discord server or other community forums.

8. Third-Party Links and Services

The Service may contain links to third-party websites or services (e.g., Discord, payment processors, brokers) that are not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

9. Termination

(a) By Company: We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

(b) By You: You may cancel your subscription at any time according to the cancellation procedures specified by our payment processor or by contacting us. Cancellation will be effective at the end of your current billing cycle.

(c) Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. No refunds will be issued upon termination.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, STRATEGIES, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OR STRATEGIES OBTAINED FROM THE SERVICE; (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (V) ANY TRADING LOSSES INCURRED BY YOU.

IN NO EVENT SHALL THE COMPANY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO THE COMPANY FOR ACCESS TO THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any trading decisions made or actions taken based on information or Strategies obtained from the Service.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Indiana, United States, without regard to its conflict of law provisions.
